The Offshore Pengana Funds (the "Funds") are offered exclusively on a private placement basis to investors who are financially suitable. In addition to the financial resources necessary for a client to invest in the Funds, the offering of the Funds is restricted exclusively to investors who, either alone or together with their financial advisers, have the financial experience and knowledge to evaluate the merits and risks of investments such as the Funds and to determine whether an investment in the Funds is suitable for them, in view of their financial situation and objectives.
